摘要
PPP协议区别于传统民商事合同和行政协议,系双重混合合同:在物理形态上,PPP协议囊括PPP项目实施中多种合同,具有合同群的属性;在法律关系上,PPP协议所涉法律关系既包括民商事法律关系也包括行政法律关系。PPP协议纠纷解决机制的选择以往采用“协议整体公私法属性决定协议纠纷解决机制”的法治逻辑,建构了“协议性质—纠纷解决机制”的解纷模式,却忽视了PPP协议中公私法纠纷交错且存在实体难分和程序难分两种形态的核心特征。PPP协议纠纷诉讼模式的选择应聚焦于公私法交融的协议纠纷本质,构筑“公私法纠纷—公私法解纷”的框架模式,择取行政附带民事诉讼以融合的方式一并解决PPP协议争议,并以此为基础,配套建构合意型纠纷解决方式前置模式,探索PPP协议仲裁模式,建立起体系化、系统性的PPP协议纠纷解决机制。
The Public-Private Partnership agreement is different from traditional civil and commercial contracts and administrative agreements.It is a type of hybrid contract.First,in terms of contractual form,the PPP agreement includes multiple contracts in the implementation of PPP projects,which have the attributes of a group contract.Second,in terms of legal relations,it consists of both commercial and administrative legal relations.In the past,the dispute resolution mechanism of PPP argument followed the legal traditional logic of “the public and private law attribute determines the dispute resolution mechanism,” and constructed the “Agreement nature-dispute resolution mechanism” solution mode,but ignored the core characteristics of intertwined public and private legal disputes in PPP agreement and the existence of difficulties of substantial differentiation and procedural differantiation.The choice of PPP dispute mode should focus on the nature of the agreement dispute between public and private law,construct the framework model of “public-private law dispute and public-private law solution,” and choose the administrative suit collateral to civil proceedings to solve the PPP dispute.Based on this,construct a consensus dispute resolution method,explore the PPP arbitration mode,and establish a hierarchical and systematic PPP dispute resolution mechanism.
