房地产企业破产中待履行商品房买卖合同的解除权研究 被引量:14

摘要 房地产企业破产案件审理的最大难点是商品房买卖合同的继续履行与破产解除权行使的权益冲突问题。破产解除权具有特殊法定性,原则上无溯及力,但基于公平原则和比例原则也有例外。管理人对待履行商品房买卖合同的破产解除权应受限制,且因待履行合同种类不同各异。对消费型购房合同行使破产解除权,要保障购房人的基本生存权,赋予已给付购房款本金共益债权地位。司法审判中考查管理人行使的破产解除权,应坚持破产企业财产利益保值增值和消费型购房人基本生存权相平衡原则。 The biggest difficulty in the trial of real estate enterprise bankruptcy cases is the issue of the conflict between the continued performance of commercial housing sales contracts and the exercise of bankruptcy rescission rights. The right to bankruptcy has special statutory nature and is not retroactive in principle, but there are exceptions based on the principle of fairness and proportionality. The manager’s right of recession to bankruptcy of the contract for the sale of commercial housing shall be restricted and may vary depending on the type of contract to be performed. To exercise the right to bankruptcy of a consumer-type purchase contract,it is necessary to protect the basic right to subsistence of the purchaser,and to give the principal of the purchase of the house the share of the credit. In the judicial trial,the right to bankruptcy of the manager shall be examined,and the principle of balancing the value of the property of the bankrupt enterprise and the basic survival of the consumer-type purchaser shall be adhered to.
