摘要
农村集体经济组织在社区合作基础上的股份制改革并没有改变组织性质,仍然属于农村集体经济组织。以家庭承包经营户为基础的农村社区股份合作组织,不仅是一个经营社群,而且是一个生活社群,承载着集体经济发展诉求与乡土民生和谐传承的双重功能。在民法典编纂之际,不应当简单地基于外部交易的功利主义,赋予农村社区股份合作组织以特别法人“商人证”,还应当秉承外部交易功利与内部互助秩序绵延交融的立法理念,确立农村社区股份合作组织的中间法人属性。
The shareholding reform of rural collective economic organizations on the basis of community cooperation has not changed the nature of the organization.The rural community joint-stock cooperative organization still belongs to rural collective economic organization.The rural community joint-stock cooperative organization,based on household contract operators,is not only a production community,but also a living community,carrying the dual functions of the collective economic development demands and the harmonious inheritance of the local people’s livelihood.At the time of codification of the Civil Code,we should not simply give the rural community joint-stock cooperative organizations a special legal person“merchant certificate”,based on the utilitarianism of external transactions,but also uphold the legislative concept of the continuous integration of external transaction utilitarianism and internal mutual assistance order,and establish the intermediate legal personality of the rural community joint-stock cooperative organizations.
