摘要
农村社区股份合作社作为农村集体经济组织的重要组织形式,关乎广大农民的切身权益,在当下农村经济的发展过程中作用日益显著。但是,由于农村社区股份合作社的法律地位并不明确,致使其在实际运行中出现了诸多问题。时值《民法典》起草,商主体的制度构建任重道远,笔者结合近年来实地调研的经验及学术研究的成果,在厘清农村社区股份合作社发展脉络及内涵的基础上,将其同现有相似法人组织进行比较,剖析其法律特征,提出商法人化是农村社区股份合作社的主要路径选择,并对其商主体制度的构建提出了建议。
As a significant organizational form of rural collective economic organization, rural community stock cooperation relates to the essential interests of peasants and shows great effect on the development of rural economy. However, the vague legal status of rural community stock cooperation leads to many problems in practice. Just when the Civil Code is drafted and the construction of mercantile subjects system has a long way to go, based on the development and connotation of the rural community stock cooperation, and combining the author's findings in recent field surveys and academic researches, this thesis compares the rural community stock cooperation with other similar corporation organizations to analyze its legal characteristics and puts forward that incorporation is the best choice of rural community stock cooperation development. This thesis also offers some advice on the construction of mercantile subjects system.
