摘要
大股东利用其控制地位经常侵害小股东的权益。这一问题在世界各国普遍存在,在我国尤为突出。因此,研究小股东权益保护的有关法理依据,借鉴国外的相关立法经验,寻找适合我国公司制度的小股东保护措施,对于完善我国公司法律制度及和谐社会的构建都很有必要。
By means of its dominating status, the controlling shareholders often infringe on the rights and interests of the small-sized shareholders, which exists widely all over the world, esp. in China. Thus,to study the legal evidences concerning the profit protection of small-sized shareholders, to borrow the relevant legal experiences abroad, to look for suitable protection measures for small-sized shareholders in companies of our country is very essential to perfecting the legal system of companies in our country and building up harmonious society.
