摘要
董事对第三人责任制度改变了公司内传统的委托代理模式,扩张了董事对公司的信义义务,试图以强化董事责任的方式提升董事职务行为的质量。然而,观察董事对第三人责任制度的学说演进,可以发现制度功能在制度运行过程中不断改变,董事对第三人责任的性质争论也在社会经济条件的变化中不断被修正。从学说史的视角考察董事对第三人责任制度的功能演变与制度构成,对准确理解并规范适用董事对第三人责任制度具有重要意义。
The system of directors'liability to third parties has changed the traditional principal-agent model within the company,expanded the directors'fiduciary liability to the company,and attempted to enhance the quality of the directors'duty behavior by strengthening the direc-tors'liability.However,by observing the evolution of the theory of directors'liability to the third-party system,we can find that the function of the system is constantly changing in the process of system operation,and the debate on the nature of directors liability to the third party is constantly revised in the change of social and economic conditions.It is of great significance to study the functional evolution and systemic composition of the director's liability system to the third party from the perspective of the doctrinal history to accurately understand and standardize the application of the director's liability system to the third party.
