摘要
我国《民法典》中,人格权已然单独成篇,但有关法人人格权的立法界定还不甚明晰。关于法人能否成为人格权的主体,并非毫无争议。虽然我国《民法典》中已经确定了法人也是人格权的主体,但在学术理论上仍然存在“法人人格肯定说”和“法人人格否定说”的对立。在如今商品经济的迅速发展下,允许法人具备特殊的人格权是市场经济发展的必然结果。国外很多国家都以不同的法律形式规定了法人人格权。此外,在人格权篇中,对法人人格权并没有像自然人权利一般加以独立列举,而只是在具体的人格权条款下加以补充性说明,此种依附性立法模式给法人人格权的内容及其在实施上的保障也造成了许多问题。在建立法人人格权制度的过程中,应当分别着眼于作为主体的法人以及人格权进行范围上的限定,避免如今的派生性立法方式,以期构建更加完善的法人人格权立法体系。
In Civil Code of the People’s Republic of China,the part of personality right has been a separate article,but the legislative definition of personality right of legal person is not clear.There is doubt about whether legal person can be the subject of personality right,although it has been determined that legal person is also the subject of personality right in China’s Civil Code.However,in the academic circles,there is still a contradiction between“the affirmation of corporate personality”and“the negation of corporate personality”.However,with the rapid development of commodity economy,it is an inevitable result allowing legal persons having special personality rights under the development of market economy.Many foreign countries have also prescribed the personality rights of legal persons in different legal forms.In addition,in the article of personality rights,the personality rights of legal persons are not listed independently like the rights of natural persons,but only supplemented under the specific provisions of personality rights.This kind of dependent legislation mode also causes many problems to the content of personality rights of legal persons and the guarantee of their implementation.In the process of establishing the system of personality right of legal person,we should focus on the scope of the legal person as the subject and the personality right,and avoid generative approach to legislation in order to build a complete personality right legislation system.
