摘要
双边投资协定(BITs)是调节与规范跨国资本流动的国际制度,在保护外商投资方面发挥着重要的作用,探究中国双边投资协定的演进逻辑有利于稳步扩大制度型开放。中国双边投资协定的发展分为谨慎探索、趋向自由与平衡发展三个阶段,主要特征表现为:签订时间较早,内容相对陈旧;缔约国集中在欧洲和亚洲,地区差异性明显;协议异质性显著。文章在计算中国主要双边投资协定质量指数的基础上归纳了中国双边投资协定质量特征,进一步提出了高质量推动中国双边投资协定发展的建议,包括:签订高标准的双边投资协定,为企业海外投资保驾护航;提高双边投资协定内容的灵活性,面向不同国家制定差异化策略;推动企业积极利用双边投资协定,提高风险防范能力;推进高质量双边投资协定签署与生效,促进商签更多高标准自由贸易协定。
Bilateral investment treaties(BITs)are international institutions that regulate transnational capital flows,and play an important role in the protection of foreign investment.Exploring the evolutionary logic of China’s BITs is conducive to the steady expansion of institutional opening-up.The development of China’s BITs can be divided into three stages:cautious exploration,gradually into a free-form mode and balanced development.The main features are as follows:The content was dated because it was signed early,the contracting parties are concentrated in Europe and Asia with significant regional differences,and the treaties heterogeneity is obvious.On the basis of calculating the quality index of China’s main BITs,this paper sums up the quality characteristics of China’s BITs,and puts forward some suggestions on promoting the development of BITs with high quality,these include signing high-standard BITs to protect enterprises’overseas investments;enhancing the flexibility in the contents of BITs to develop differentiated strategies for different countries;encouraging enterprises to make active use of BITs so as to enhance their ability to prevent risks;and promoting the signing and entry into force of high-quality BITs to facilitate the signing of more high-standard free trade agreements.
