摘要
法人分类模式是大陆法系法人制度中的基础问题。融合“结构主义”和“功能主义”法人分类模式的兼容模式更有助于国家治理能力现代化目标的实现,也有助于法人分类之价值理性和工具理性双重目标的实现。特别法人类型的创设以及农村集体经济组织特别法人地位的确立,是采纳兼容模式的典型例证。廓清农村集体经济组织法人类型定位对于建构中国特色民法理论体系话语体系、繁荣农村市场经济推动乡村振兴战略实施和指引农村集体经济组织特别法人立法具有现实价值。我国法人分类模式选择是在大陆法系私法传统上的持续性制度创新,展现了中国民法学理论的制度生成活力和民法学理论话语体系的自主创新能力。
The classification mode of legal person is the basic issue in the legal person system of civil law system. The compatible mode of integrating the "structuralism" and "functionalism" legal person classification mode is more conducive to the realization of the goal of modernization of national governance capacity, as well as the realization of the dual goals of value rationality and instrumental rationality of legal person classification. The creation of the special legal person type and the establishment of the special legal person status of rural collective economic organizations are typical examples of adopting the compatible mode. Clarifying the legal person type orientation of rural collective economic organizations has practical value for constructing the discourse system of civil law theory system with Chinese characteristics, prospering rural market economy, promoting the implementation of Rural Revitalization Strategy and guiding the legislation of special legal person of rural collective economic organizations. The choice of the legal person classification mode in China is a continuous institutional innovation in the tradition of private law of civil law system, which shows the institutional vitality of Chinese civil law theory and the independent innovation ability of the discourse system of civil law theory.
