摘要
农村集体经济组织法人终止制度是《农村集体经济组织法》中不可或缺的制度设计。学界围绕农村集体经济组织法人终止、特别是破产问题争论激烈。地方立法已经围绕合并、分立等终止情形进行了实践探索。构建完善的农村集体经济组织法人终止制度对巩固和完善农村集体所有制、完善和优化市场经济体制、激活和壮大农村集体经济组织颇具实益。农村集体经济组织法人终止的“特别性”集中体现为终止制度目标的多元性、终止事由的严苛性和终止规则的强制兼自治性。应当在充分反映农村集体经济组织法人终止“特别性”法理的基础上,围绕终止事由和类型设计、登记机构和程序选择、集体财产处置的程序规则等展开立法表达。
The legal person termination system of rural collective economic organizations is an indispensable system design in the Rural Collective Economic Organization Law.At present,the academic circle has been focusing on the termination of rural collective economic organizations as legal persons,especially whether they can go bankrupt.In local legislation,practical exploration around such termination forms as merger and separation has been carried out.Building a sound legal person termination system for rural collective economic organizations is beneficial to consolidating and improving rural collective ownership,improving and optimizing the market economy system,and activating and expanding rural collective economic organizations.The“particularity”of the termination of rural collective economic organizations is mainly reflected in the diversity of the objectives of the termination system,the severity of the causes of termination,and the compulsion and autonomy of the termination rules.On the basis of fully reflecting the legal principle of the“particularity”of the termination of the legal person of the rural collective economic organization,the legislative expression should be carried out around the design of the cause and type of termination,the selection of the registration institution and procedure,and the procedural rules for the disposal of collective property.
