摘要
近年企业违规案件多发,各界予以高度重视。本文以2012—2019年全部A股上市公司为样本,研究了高管海外背景与企业违规行为之间的关系。研究结果表明:高管海外背景与企业违规之间呈显著的负向关系,即具有海外背景的高管会抑制企业违规行为;在外部融资约束较强的环境下,高管海外背景对企业违规行为的抑制作用会减弱。此外,本文进一步研究表明,相较于高管海外学习背景,高管海外工作背景对于企业违规行为的抑制作用更大;高管海外背景会提升企业社会责任履行程度、提升公司聘请“国际四大”进行财务报告审计的概率,由此对企业违规行为产生影响。以上结论为预防与治理企业违规行为提供了新的思路。
In recent years,there have been many cases of corporate violations,which are paid high attention by all walks of life.This article takes all A-share listed companies from 2012 to 2019 as the sample to study the relationship between the overseas background of senior executives and corporate violations.The results show that there is a significant negative relationship between senior executives'overseas background and corporate violations,namely,senior executives with overseas backgrounds will inhibit corporate violations;in an environment with strong external financing constraints,the inhibitory effect of senior executives'overseas background on corporate violations will be weakened.In addition,this the further study shows that,compared with the overseas learning background of senior executives,the overseas working background of them has a greater inhibitory effect on corporate violations;senior executives'overseas background will improve corporate social responsibility performance,and improve the probability of employing the"big four"for financial audit,finally,it will have an impact on corporate violations.The above conclusions provide new ideas for preventing and managing corporate violations.
