摘要
员工持股作为一种激励制度在企业治理中举足轻重,退出机制涉及各方权益归属与争议解决,需要正确的理论指导和法律保障。通过对近年来司法案例的梳理,归纳出目前我国实践中一般以法律法规作为原则上的把控,同时充分尊重持股员工与公司的意思自治。但是,实践中仍需健全配套法律制度,公司设计方案时也应长远考虑,对退出情形再斟酌,有针对性地选择处置方式。
Employee stock plays an important role in corporate governance as an incentive system.The exit mechanism involves the ownership and dispute resolution of all parties,which requires correct theoretical guidance and legal protection.Through the review of judicial cases in recent years,it is concluded that laws and regulations are generally used as controls in principle in Chinese current practice with full respect to the autonomy of the employees and the company.However,in practice,it's still necessary to improve the supporting legal system and the company should also have a long-term consideration when designing the plan,think over the situation of exit and choose disposal methods properly.
