摘要
信托以信托财产为基础构建三方法律关系,各方主体代表不同利益,在现代信托对效率要求不断提高的背景下,各主体之间的利益冲突明显。而受托人作为信托三方主体中具有直接支配、控制信托财产权利的关键一方,当其自身利益、其他利益同信托财产利益发生冲突时,如何高效、合理的解决冲突成为关键。本文在探讨信托法律关系实质的基础上分析受托人利益冲突防止义务的产生根源,之后以受托人为中心主体,分别探析其与委托人、受益人以及其他受托人之间的利益冲突与平衡解决方式,提出完善我国信托法律制度的设计路径。
The trust builds a three-method legal relationship based on the trust property.Each subject represents different interests.Against the background of the increasing requirements of modern trust for efficiency and the intensification of free expansion,the conflicts of interest between the subjects are obvious.The trustee,as the key party that has the right to directly control the trust property among the three parties of the trust,how to resolve the conflict efficiently and reasonably when its own interests and other interests conflict with the interests of the trust property.This article will analyze the origin of the trustee's obligation to prevent conflicts of interest based on the substance of the legal relationship of the trust,and then focus on the trustee as the main subject to analyze the conflicts of interest and the settlement between the trustee,the beneficiary and other trustees Way,put forward to improve the design of China's trust legal system.
