摘要
网络交易平台交易法律关系是"互联网+交易"的民法表现形式,是由一个复杂的法律关系群构成的法律关系集合体,其中包括相互关联的三个基本法律关系,即网络交易平台提供者与销售者、服务者和消费者与网络交易平台提供者之间的两个网络交易平台服务合同关系,销售者、服务者与消费者之间的买卖或服务合同关系;五种主要内容,即提供交易空间、发布交易信息、价金托管支付、商品配送交付及交易信用评价;三种辅助性法律关系,即网络交易平台提供者与第三方支付机构、第三方征信机构以及销售者与物流企业之间为实现网络交易基本法律关系主要内容而建立的三种辅助性合同关系。通过上述法律关系的流转,以网络交易平台提供者与销售者、服务者以及消费者之间的网络交易平台服务合同关系为基础,销售者、服务者与消费者的买卖合同或服务合同为中心,实现网络交易目的,满足社会需要,推动经济发展。
The legal relations in trading through online trading platforms are forms of civil law expressed in'Internet+trading,'made up of a legal relations aggregate formed by a complex set of legal relations.It involves three basic interrelated legal relations:the two sets of contractual relations between the online trading platform provider and the sellers,service providers and consumers and the online trading platform provider,and the sale/purchase or service contract relationship between the seller,the service provider and the consumer;five major contents,namely provision of trading space,publication of trading information,payment held in trust,distribution and delivery of goods,and transaction credit rating;and three auxiliary legal relations,i.e.,the three auxiliary contract relations established to actualize the main content of basic online trading platform legal relations,namely the relations between the online trading platform provider on the one hand and a third party payment agency and a third party credit reporting agency respectively on the other,plus the relations between the seller and the logistics enterprise.On the basis of the online trading platform service contractual relations between the provider of the online trading platform and the sellers,service providers and consumers,the flow of the above-mentioned legal relations,centering on sale/purchase contracts or service contracts between sellers,service providers and consumers,fulfils the purpose of online trading,satisfies society's needs and promotes economic development.
