摘要
新修订的《公司法》取消了公司注册资本的最低限额,改资本分期实缴制为资本认缴制。结合我国《公司法》关于资本制度的立法变化,探讨公司资本制度改革产生的影响,并从公司股东、公司法人、公司债权人以及司法裁判者的角度分别提出公司资本制度变革下交易安全的保障措施。
The newly-revised Company Lawtakes off restrictions on the minimum registered capital of the company and changes the capital installment paid-up system into the capital subscription system.Firstly,legislative changes concerning the capital system in Company Lawin China are identified.Secondly,problems provoked by the reform of the corporate capital system are discussed.Lastly,measures for guaranteeing transaction safety in the reform of corporate capital system are put forward,respectively from the perspectives of the company itself,its shareholders,creditors and judicial judges.
