摘要
在认缴登记资本制度下,注册资本担保功能的丧失、认缴登记制对债权的阻碍以及股东自治权利扩张对债权人利益的挤占,使得对债权人利益进行均衡保护成为必需。其具体方式包括:强化公司人格否认制度的适用、降低公司资产信息不对称给债权人带来的风险和加强公司对债权人社会责任的承担。
It＇ s necessary to balanced protect creditors＇ interest when the assurance function of registered capital have lost, the subscribed registered capital system may damage creditors＇ rights, and the expanded shareholder＇s autonomic rights reduced the creditors＇ interest under the subscribed registered capital system. The measures of balanced protect include to intensify the application of the disregard of corporate personality system, to reduce the risk of creditors that come from information asymmetry of the corporation＇s capital, and to strengthen the corporation to assume CSR to creditors.
