摘要
道德条款是体育赞助合同中的主要条款之一,易生争议。道德条款具有抽象性、多变性、单向性。为了维护赞助方的经济利益及体育名人或运动员的私生活的某些合法权益,道德条款的法律规制具有合理性和合法性。道德条款原则上是有效的,但其效力也要受到宪法上基本权利、私法中诚实信用原则的限制。道德条款并不主要且不限于合同中的明示约定,也可以是默示条款。赞助方在判断是否违反道德条款的行为时不能滥用合同权利,损害体育名人或运动员利益。道德条款的法律效果主要包括解除合同、中止合同或惩罚性责任,但皆需受制于比例原则。
Moral Clause is a key term in sports endowment contract. It is abstract, dynamic and unilateral. To gain economic profits of sponsors' and private rights and interests of athletes, Moral Clause by legal limits has the factual and legal foundation. It is gener- ally valid but reviewed by the principles of fundamental rights and good faith. Moral Clause is not only express but also implied. Sponsor can' t abuse its discretion in deciding which breach the moral clauses. The effacements of moral clauses are termination, sus- pension or penalty, which are limited by proportionality.
