摘要
股权的权能能否部分转让,已成为我国理论界和实务界亟待解决的问题。无论从理论还是实践看,股东均不能部分转让股权权能。股权的特征和股东的法律地位性质决定了股权的权能不能分离转让。股权权能部分转让不仅将导致自益权与共益权的分离,而且易引发公司履行义务的困难,同时也不具有实践可行性。股权的权能转让不同于一般民事权利的转让,它是一种集物权、债权为一体的复合性权利,只能是公司股东所享有的,仅可以概括转让、不能分离转让的权利。不能因为充分尊重股东个人的权利而牺牲公司的整体利益。
Whether part of powers and functions of stock right can be transfered or not has become a problem, which ought to be solved urgently in China＇s theoretical and practical circles. Both in theory and in practice, stockholders can not tranfer part of powers and functions of stock right. According to the characteristics of stock right and stockholderg legal status, powers and functions of stcok right can not be partly transfered. Transfering part of powers and funtions of stock right can cause the speration of self-benefit right and co-benefit right. It could also fail to meet their obligations, and it is not feasible in practice. Unlike the transfer of general civil righs, stock right is a complex right involving property right and creditor~ right. Stock right can only be owned by stockholers, and can only be transfered as a whole. It is not possible to protect the rights of stockholders at the expendse of campanies＇s interests.
