摘要
本文通过分析各种股权移转标志的观点,提出了股权移转应当发生在出让人根据股东会决议指令公司移转股权之时。在此基础上,文章对有限责任公司股权移转中和移转后的相关主体利益保护问题进行探讨,尤其对其他股东的部分优先购买权以及公司登记与股权移转不相符的处理作了重点讨论。
This paper analyzes different views on the mark of stock abalienation, and argues that stock abalienation occurs when transferor abalienates stocks by implementing decisions of general meeting d shareholder. Based on this argument, the paper discusses the protection of relating stakeolders during and after the stock abalienafion of limited companies. It mainly focuses on the partial preemption of other shareholders and inconsistence of company＇s registration with its stock abalienation.
