摘要
由于市场的无效性,独立董事制度是解决基金利益冲突问题现实可行的解决办法,基金独立董事治理功能是有效的。在此基础上,分析公司型基金和契约型基金中的独立董事制度的差异,结合我国契约型基金的现实,对我国基金独立董事制度的改革与发展提出了建立独立受托人制度的建议。
Due to some market failures, the system of independent fund directors is a realistic choice for effective fund governance. Independent directors, by performing fiduciary, regulator, and contractual function, can be an effective mechanism to monitor the conflicts of interest within fund structure. In light of the above analysis, this paper then claims that the contractual type fund in China should set up so - called independent trustees mechanism, because contractual type fund is so different from the corporate type fund in legal structure that only independent trustee can well perform the same function as those in corporate type fund.
