摘要
《民法典》对融资租赁规则作了一些修改,但仍不够完善。在承租人擅自转租租赁物的情形下,《民法典》第753条赋予出租人依法解除合同的权利,擅自转租并不能等同于合同目的无法实现,实质上将出租人行使法定解除权利的条件限窄了。获得约定租金是出租人的主要合同目的。出租人实现租金债权可以有多种方式,承租人擅自转租租赁物并不必然导致租金债权无法实现。因此,不应将解除合同的权利直接赋予出租人。承租人擅自转租租赁物,在依法确定出租人是否有权终止合同时,应该根据保障租金债权实现的情况作出综合判断。
The Civil Code has made some modification to the financial leasing system,but it is still not perfect.In the case of the lessee subletting the lease without authorization,Article 753 of the Civil Code gives the lessor the right to terminate the contract,and the unauthorized subletting cannot be equated with the unachievable purpose of the contract,which in essence relaxes the conditions for the lessor’s statutory discharge of the right.Obtaining agreed rent is the main contractual purpose of the lessor.There are many ways for the lessor to realize the rent claim,and the lessee’s unauthorized subletting of the lease does not necessarily lead to the unachievable rental claim.Therefore,the right to terminate the contract should not be granted directly to the lessor.When the lessee sublets the lease without authorization,it shall make a comprehensive judgment according to the situation of guaranteeing the realization of the rent claim when determining whether the lessor has the right to terminate the contract according to law.
