摘要
研究目的:菲迪克因其相对的公平公正性,在全球工程合同范本中享有盛誉,同时以其条款严密、操作性强、风险责任明确,被国际工程行业所广泛采用。本文主要介绍菲迪克生产设备和设计-施工合同条件(黄皮书)在海外SLH铁路项目DB招标中的应用情况,通过对FIDIC与所在国政府采购招标合同范本在工期、质量和投资三方面控制相关条款的对比分析,深入探讨菲迪克黄皮书的属地化应用实践方法和策略。研究结论:(1)菲迪克属地化应用的关键点在于合同条件应适应所在国特有的建设监管法律环境的问题;(2)专用合同条款尤其重要,应与项目特点相匹配;(3)本文成果可为海外DB招标合同条款谈判与签订提供借鉴。
Research purposes:FIDIC Contract Conditions enjoy high reputation in the global engineering contract form for their relative justice and fairness.Meanwhile,FIDIC Contract Conditions are widely used in international engineering field for their strict conditions,strong operability and clear risk liability.This paper mainly introduced the application of FIDIC Conditions of Contract for Plant and Design-Build(Yellow Book)in the DB bidding of the SLH Railway Project.By comparative analysis of time of completion,quality control and investment control between FIDIC Yellow Book and the Bidding Documents of Government Procurement of Infrastructure of the host country,this paper conducted in-depth discussion for practice and strategy of localized application of FIDIC Yellow Book.Research conclusions:(1)The key point of localized application of FIDIC Contract Conditions is to adapt the unique construction supervision legislation environment in the host country.(2)Particular contract conditions are particularly important and should match to the characteristics of the project.(3)The research results can provide reference for the negotiation and signing of contract conditions for international DB bidding.
