摘要
《公司法(修订草案)》第1条明确将“完善中国特色现代企业制度”作为立法宗旨,开启了构建中国特色现代企业制度的法治新征程。中国特色现代企业制度是现代企业制度在中国实践场域的丰富与升华,是现代企业制度的一般结构要素与体现中国特色本质属性的特殊结构要素的有机统一体。要以法律形式规范及实施中国特色现代企业制度,就必须以法治思维和法治方式提炼与归纳现代企业制度中可以用法律表达的中国特色。现代企业制度在法治范畴内的中国特色主要体现在演进机制、产权结构、治理结构与功能类型上。公司法修改应重点处理好中国特色与一般规则的关系,既不能迁就一般规则而束缚体现中国特色的法律规范创新,也不能罔顾一般规则的普适效力而造成过犹不及的立法效果。
The first article of the Company Law(Revised Draft)clearly takes"improving the modern enterprise system with Chinese characteristics"as the legislative purpose,and starts a new journey to build a modern enterprise system with Chinese characteristics.The modern enterprise system with Chinese characteristics is the enrichment and sublimation of modern enterprise system in China's practice.It is an organic unity of the general structural elements of modern enterprise system and the special structural elements reflecting the essential attributes of Chinese characteristics.In order to standardize and implement the modern enterprise system with Chinese characteristics in the form of law,we must refine and summarize the Chinese characteristics that can be expressed in law in modern enterprise system by way of rule of law.The Chinese characteristics of modern enterprise system in the perspective of rule of law are mainly reflected in its evolution mechanism,property right structure,governance structure and function types.The revision of the Company Law should focus on the relationship between the Chinese characteristics and the general rules.It can neither restrict the innovation of legal norms reflecting the Chinese characteristics in order to accommodate the general rules,nor ignore the universal application of the general rules.
