摘要
完善中国特色现代企业制度是新公司法回应时代需求最为集中的体现和依归。现代企业制度具有产权清晰、权责明确、政企分开、管理科学四个基本特征,同时还需要把握先进性、时代性和国别性几个关键的内在维度。中国特色现代企业制度的建构思路就是在现代企业制度所具有的先进性的基础上,为其注入时代性和国别性,使其更加适应中国特色社会主义体制,更好推动新时代我国社会主要矛盾的解决,更好服务国家战略,更好助力中国式现代化建设。新公司法中国特色的增强主要表现在立法目的更加具有包容性、党的领导更加具有实质性、人民中心更加具有内涵性、法治企业更加具有适应性以及和谐共生更加具有操作性。未来仍然需要持续彰显公司法律制度演进的时代性、持续努力为公司企业组织输入社会性以及持续提升公司内部权力配置的协同性。
Improving the modern enterprise system with Chinese characteristics is the most concentrated manifestation and goal of the new company law in responding to the needs of the times.The modern enterprise system has four basic characteristics:clear property rights,clear rights and responsibilities,separation of government and enterprises,and scientific management.At the same time,it also needs to grasp the key internal dimensions of progressiveness,modernity,and nationality.The idea of building a modern enterprise system with Chinese characteristics is to inject modernity and nationality into the modern enterprise system on the basis of its progressiveness,so that it can be better adapt to the socialist system with Chinese characteristics,better to promote the resolution of basic social contradictions in the new era,better to serve the national strategy,and better to help Chinese path to modernization.The enhancement of the Chinese characteristics of the new company law is mainly reflected in a more inclusive legislative purpose,a more substantive Party leadership,a more connotative people-centered approach,a more adaptable rule of law enterprise,and a more operational harmonious coexistence.In the future,it is still necessary to continuously demonstrate the timeliness of the evolution of the company's legal system,make continuous efforts to input social characteristics into the company's organizational structure,and continuously improve the synergy of internal power allocation within the company.
