摘要
中国境外投资法律制度还不成系统,无法适配中国企业境外投资的发展需求。中国要进行统一的境外投资立法,应明确贯穿该法的总体理念原则。立法原则选定须立足实际,并涵盖企业境外投资立法的各方面。促进与保护投资原则、国家安全原则和可持续发展原则应当作为中国企业境外投资立法的基本原则。促进与保护投资原则平衡了中国作为资本输入和资本输出大国的立法需要,具有首要原则地位;国家安全原则反映了企业境外投资活动要兼顾经济发展和国家安全目标;可持续发展原则要求兼顾中国发展利益与人类共同体发展的共同利益。这三大原则互为补充构成有机整体,可通过指导具体法规规章的制定加以落实。
China’s current legal system for outward foreign investment is not systematic enough to meet the development needs of Chinese enterprises’ overseas investment. China should carry out a unified outward foreign investment legislation and clarify the general principles that run through the spirit of the legislation. The selection of legislative principles must be based on reality and cover all aspects of the legislation on outward foreign investment of enterprises. The principle of investment promotion and protection, the principle of national security and the principle of sustainable development are basic principles of the legislation of outward foreign investment of Chinese enterprises. The principle of investment promotion and protection balance the legislative needs of China as a major country of capital input and capital export and are the primary principles of China’s outward foreign investment legislation. The principle of national security reflects the need for enterprises to consider economic development and national security objectives in their outward foreign investment activities. The principle of sustainable development is the organic combination of China’s current development interests and the overall interests of the community with a shared future for mankind. These three principles complement each other to form an organic whole and guide the formulation and implementation of specific laws and regulations respectively.
