摘要
在关联公司中股东或非股东均可能成为公司的控制人,都有可能滥用权利损害公司、债权人利益,只是股东作为控制人时滥用权利更加适合用公司人格否认制度来调整。通常控制人通过股东会和董事会来实施滥用行为,其滥用公司控制权的主要表现包括控制人虚假出资、抽逃出资、过度操控、关联公司人格混同等。在公司控制人滥用控制权导致关联公司人格混同并损害债权人利益时,关联公司应对债权人承担连带责任,控制人应承担补充责任,但非股东控制人除外。
In affiliated companies,shareholders or non-shareholders may become the controllers of the company,and they may abuse their rights to damage the interests of the company and creditors.However,when shareholders abuse their rights as controllers,it is more suitable to use the system of disregard of corporate personality to adjust.Usually,the controller abuses the company’s control through the board of shareholders and the board of directors.The main manifestations of the abuse include the controller’s false capital contribution,withdrawal of capital contribution,excessive manipulation,and the personality confusion of affiliated companies.When the abuse of control right by the company controller leads to the confusion of the personality of the affiliated company and damages the interests of the creditors,the affiliated company shall bear joint and several liability for the creditors,and the controller shall bear supplementary liability,except for the non-shareholder controller.
