摘要
股权管理是国有资本投资运营公司的重要功能,但还存在权责不清、行为不规范、管理不到位等问题。这主要是由于股东权利不完整、公司治理不完善、制度体系未健全、机制设计不科学等因素的影响;更深层次的原因在于对股权的认识还不深刻,权责明确、股权平等、股东平等基本理念尚有待转化成为股权管理的行动自觉。有鉴于此,对国有资本委托代理链条上的“股东”们而言,需要重视完成从所有权向股权的转化,促进股东股权同公司法人财产权的区分,保障股东享有完整股权权利,不承担法律规定外的无关“连带”责任。对立法机构而言,需要进一步推动不同所有制类型股权受法律同等保护;建立类别股制度,丰富股权平等原则的内涵与外延;促进从股权平等到股东平等的发展。对国有资本投资运营公司而言,为实现规范有效的股权管理,应以公司治理为股权管理的主渠道,完善股权管理制度体系,科学设计股权管理机制。
Equity management is an important function of state-owned capital investment and operation companies,but there are still problems such as unclear powers and responsibilities,irregular behavior,and poor management.This is mainly due to factors such as incomplete shareholder rights,imperfect corporate governance,imperfect institutional system,and unscientific mechanism design.The deep-seated reason is that the understanding of equity is not deep,and the clear rights and responsibilities,even equity and the basic concepts of shareholder equality have yet to be transformed into the action consciousness of equity management.In view of this,for the“shareholders”in the state-owned capital entrusted agency chain,it is necessary to pay attention to completing the transformation from ownership to equity,to promote the distinction between shareholder equity and corporate legal person property rights,and to ensure that shareholders enjoy complete equity rights without assuming legal liabilities of unrelated joint liability.For the legislature,it is necessary to further promote the equal protection of different types of ownership by the law,establish a class share system to enrich the connotation and extension of the principle of equity equality,and promote the transition from share equity to shareholder equity.For state-owned capital investment and operating companies,in order to achieve standardized and effective equity management,corporate governance should be the main channel for equity management,the equity management system should be improved,and the equity management mechanism should be scientifically designed.
