摘要
独立保函作为新型担保制度在国际经贸往来中发挥着重要作用,尤其是随着我国"一带一路"实践的推进,独立保函纠纷案件更是成为涉外司法审判中的热点问题。在此背景下,《关于审理独立保函纠纷案件若干问题的规定》(2016年实施)应运而生。在该司法解释中,独立保函的识别、独立保函的欺诈和救济措施、独立保函纠纷的管辖权和法律适用尤为重要。对这三个问题的认识需要对比《联合国独立保函与备用信用证公约》,同时结合我国司法实践中的典型案例。对该司法解释应在以下几方面进行完善和改进:细化独立保函开立人资格,明确独立保函认定标准,加入对独立保函有效期的规定、完善独立保函欺诈的规定。
As a new type of guarantee system, the independent guarantee system plays an important role in international economic and trade exchanges. Especially with the advancement of China’s “The Belt and Road” initiative, independent guarantee disputes have become a hot issue in foreign-related judicial trials. In view of this, the Provisions of the Supreme People’s Court on Several Issues Concerning the Trial of Independent Guarantee Dispute Cases came into force. According to the judicial interpretation, issues like the identification of independent guarantees, fraud and remedies for independent guarantees and jurisdiction and legal application of independent guarantees are particularly important. To understand these three issues, we need to compare relevant issues with the United Nations Convention on Independent Guarantees and Standby Letters of Credit , and take into account some typical cases in China’s judicial practice. We believe that the judicial interpretation should be modified in the following aspects: refining the qualifications of independent guarantees, clarifying the criteria for the identification of independent guarantees, adding provisions on the validity period of independent guarantees, and improving the provisions on fraud of independent guarantees.
