摘要
当以单一的诉讼方式无法或不易解决董事会决议效力纠纷时,可以尝试从非讼程序的角度着手来探寻解决此类纠纷的可能路径。非讼程序可以避免诉讼程序各项繁冗、庞杂的流程,从而极大地提升解决此类纠纷的效率,进而提升公司治理和运营的效率。对于董事会决议纠纷非讼解决程序的具体布设,可以从体例设置、审理方式、权利保障、裁判形式以及救济手段等方面为着力点予以探讨。
When it is impossible or difficult to resolve the disputes over the validity of board resolutions in a single litigation mode,we can try to explore the possible ways to solve such disputes from the perspective of non-litigation procedure.Non-litigation procedure can avoid the prosperous and complicated process of litigation procedure,thus greatly improve the efficiency of resolving such disputes,and then improving the efficiency of corporate governance and operation.For the specific arrangement of the non-litigation settlement procedure of disputes of the validity of the board resolutions,we can focus on the aspects of style setting,trial mode,rights protection,adjudication form and relief means.
