摘要
秉持着强化企业内部监督和提高社会整体效益的理念,独立董事制度在西方得以诞生并不断地成熟和完善,然而该制度移植到中国时面临着水土不服的困境。目前,中国上市公司中绝大部分是国有企业,其法人治理结构存在不少问题,而且许多独立董事是由公司的领导或管理层聘请的"人情董事"担任,权力不清,职责不明,最终呈现出"独立董事不独立"的现象。究其原因,独立董事任职资格的设置上存在问题。以中外对比研究和法商结合为视角,探究完善中国独立董事任职资格的法律规则,以期更好发挥上市公司独立董事制度在公司治理中的作用。
Upholding the concept of strengthening corporation internal supervision and improving social overall benefits,the system of independent director is born and becomes more and more mature in the West. However,when the above system was transplanted in China,it faced a dilemma of"non-acclimatization". Currently,the vast majority of listed companies in China are state-owned enterprises. There are many problems in its corporate governance structure,moreover,many independent directors are"human directors"drawn or invited by the company’s leadership or management,with has unclear powers and responsibilities,which eventually presents the phenomenon of"independent directors are not independent".Accordingly,power allocation is unclear and responsibility is unknown. Simultaneously,a phenomenon that independent directors are not independent exists in listed companies in China to some extent. The main reason of above phenomenon is that there is a problem on the set of independent directors’ qualifications. Therefore,aim to explore legal rules or reform proposals on the improvement of qualifications of independent directors in China,within the perspective of Chinese and foreign comparative studies and combination of law and business,so that the system of independent directors in listed companies could play better roles in corporate governance in China.
