摘要
《合同法》第410条就委托合同任意解除权的适用未区分委托类型,导致适用范围过宽。委托合同任意解除权的设立基础不仅在于当事人之间的依赖关系,也在于委托合同的无偿性。以有偿委托为主的经济社会背景下,使委托基础多产生于委托人对受托人业务能力与水平的估计,及受托人的营利目的。加之,损失赔偿已经无法限制实践中任意解除权被滥用的现象。这都需对任意解除权做出限缩解释,无偿委托应继续允许行使任意解除权,但是有偿委托一般不允许行使,需要法官综合多种因素进行衡量。倘若当事人之间约定放弃任意解除权,在不违反公序良俗等原则的前提下,应当允许当事人通过合意排除任意解除权的适用,充分体现私法自治与契约严守原则。
Article 410 of the Contract Law does not distinguish the type of commission for right to terminate,resulting in a wide application scope.The basis for the establishment of the right to terminate not only in the dependence between the parties,but also on the unpaid nature of the commission contract.In the context of the modem economic society with paid commissions,the entrusted foundation is mostly derived from the clients estimation of the trusteed business ability and level,as well as the trustee's profit.In addition,damages can no longer limit the abuse of arbitrary powers in judicial practice.All of this requires a limited interpretation of the right to terminate,and the right to terminate should continue to be allowed for the unpaid commission,but the paid commission is generally not eillowed to be exercised,and the judge needs to measure a variety of factors.If the parties agree to waive the right to terminate arbitrage,without prejudice to the principles of public order and good customs,the parties should be allowed to unconditionally exclude the application of the right to terminate liberation,fully embodying the principle of private law autonomy and strict contract.
