摘要
民商合一的本质就是要融入商法的独特性,即商法的品格。《中华人民共和国民法总则》从我国实际出发,采纳民商合一立法体例,对民商立法做出了全新的统筹和安排,其中对商事关系最大的调整体现在法人主体规范上,引发学界广泛诟病。但以民商合一的本质为视角来分析,该调整不仅回应了当前的现实问题,还凸显了商法品格。营利法人与非营利法人之分体现了商法的营利性,同时也体现了商法的管制型,对营利法人的再分类则体现了商事主体的平等性,增设特别法人这一分类凸显了商法的包容性。该法人主体分类有效实现了民商合一,符合民商合一体例下民法总则的具体构建,更为未来的商事立法留下了空间。
The essence of commercial law is the uniqueness of commercial law, and the essence of civil and commercial integration is to integrate the uniqueness of commercial law. The General Principles of the Civil Law of the People＇s Republic of China set out from the actual conditions in our country and adopted the legislative style of civil and commercial law. It has made totally new plans and arrangements for civil and commercial legislation. The largest adjustment to the commercial relations is reflected in the legal entity＇s norms,which caused widespread criticism in academic circles. From the perspective of the essence of civil and commercial law, the adjustment not only respond to the current problems of reality but also highlight the character of commercial law. The distinction between profit-making corporations an d non-profit corporations reflects the profitability of commercial law,and it also embodies the supervision of commercial law. The reclassification of profit-making corporations reflects the equality of commercial entities, and the addition of special legal persons highlights the inclusion of commercial law. The corporate entity classification of this legal entity effectively realizes the integration of civil and commercial law, and it is in line with the concrete construction of the general principles of civil law under the integration of civil and commercial, leaving more space for future commercial legislation.
