摘要
近年来,合资铁路公司在建立股权管理体系、规范股权管理方面积极探索,但仍面临许多亟待破解的课题。分析了合资铁路公司国铁股权管理面临的形势,结合铁路局作为中国铁路总公司的出资人代表不断规范股权管理行为、履行出资人代表职责的实践,提出了合资铁路公司国铁股权管理存在的法人治理结构运转有待规范、责权利不匹配、股权布局分散、党组织发挥作用不够等方面的问题,并针对存在的问题提出优化对策,以期为管理决策提供支持。
In recent years, joint venture railway companies have established equity management systems. We have actively explored the regulation of equity management, but we still face many issues that need to be solved. Through systematically analyzing the current situation of the state-owned railway equity management in the joint venture railway company, the paper expounds the practice of the railway bureau as the representative of the China Railway to constantly standardize the behavior of the equity management and to perform the duties of the sponsor. By identifying the problems of the state-owned railway equity management in the joint venture railway company, such as the need of improving corporate governance structure, mismatch of responsibilities and rights, equity structure dispersal, insufficient role of the Party organization and so on, the paper puts forward the optimization countermeasures in order to provide support for management decision.
