摘要
本文在我国上市公司独立董事制度正式建立之际 ,阐述了独立董事在上市公司治理结构中的地位、上市公司治理结构存在的问题及独立董事的作用 ,并提出了完善我国独立董事制度的若干建议。
The independent director system of listed companies has been established in China. This paper basing on analyzing the problem of corporate governance of the listed companies, the writer expounds the status and the function of the independent director, and also puts up some suggestions on how to perfect this system.
