也论“后让与担保”——与杨立新教授商榷 被引量:104

On the After-alienation Security: From the Perspective of Discussing with Pro. Yang Lixin

摘要 "让与担保"在《物权法草案》中曾经出现过,但最终通过的《物权法》并未采纳。"后让与担保"是有学者以"我国司法实践中存在的以商品房买卖合同为借贷合同进行担保"为依据,并参照"让与担保"的发生背景和发展过程而提出的一个新种担保物权概念。正如"让与担保"不能独立存在一样,"后让与担保"也没有独立存在的个性和价值。究其实质,"后让与担保"是抵押权的一个变形。我国《物权法》担保权编关于"未来物"上的抵押权的规定已经涵盖了这一担保物权形式。"后让与担保"与抵押制度相比没有创新内容。需要对我国现有的多元化担保物权体系结构进行一元化改造,以应对生活中不断出现的有名无实的所谓新型担保物权。 The alienation guarantee once emerged in the draft of property law in China, but had not been adopted by the Property Right Law passed. After-alienation guarantee is a new concept of security interests proposed by some scholars according to deeming the house sale contract as the contract of loan to secure the payment of debts in legal practices in China, and the background and the development process of the alienation guarantee. In practice, the alienation guarantee cannot exist independently, so the after-alienation guarantee has no individuality and value to exist. The reason is that the after-alienation guarantee is a deformation of the mortgage. The provisions of the mortgage concerning the properties in the future in the Property Right Law in China have already covered this security interest. Compared to the system of mortgage, the after-alienation guarantee has nothing different. It is thus necessary to reform the system of security interests in order to handle the so-called new security interests which may emerge ceaselessly and nominally.
