摘要
技术战略决策是创业板上市企业董事会的重要任务。本文从技术轨道基本原理出发,将我国创业板上市企业依据其技术轨道进行聚类分析,发现以"信息密集型"、"以科学为基础"、"专业化供应商"技术轨道为基础的企业董事会结构具有相似的特征,在董事会规模、非执行董事比例、董事会学历水平、技术专家比例、机构投资者所占比例这几项指标上高于以"规模密集型"、"供应商为主导"技术轨道为基础的企业;同时发现基于不同技术轨道的企业在董事会结构某些指标上也存在显著差异,"信息密集型"企业的两职合一比例和"规模密集型"企业的职业经理人比例明显偏高,通过对上述发现的管理学解释,揭示了技术轨道对董事会结构的影响。
The technology strategy decision is an important task for the board of the companies listed on GEM. This paper analyses GEM companies＇ board structure from the basic principles of technical track. It found that the information-intensive, science-based, enterprises＇ board structure have similar characteristics. The indicators of board size, the proportion of non-executive directors, the board education level, the proportion of technical experts and institutional investors proportion of these enterprises are higher than the scale-intensive and supplier-dominated enterprises. It also found that there are significant differences in some of the indicators about the board structure. Information-intensive enterprises＇ chairman and CEO joint proportion and scale-intensive enterprises＇ professional managers proportion are significantly higher. This paper reveals the influence of technological trajectory on the board structure through the managemental explaination on the above findings.
