摘要
受理《公司法》意义上的公司股东提起的派生诉讼 ,可依据最高人民法院就中外合资经营企业所作司法解释的精神。提起派生诉讼的原告资格首先要符合作为股东的法定要件 ;其次 ,要符合公司内部程序前置要求 ;还要符合股东公正性和公益性要求。
Derived litigation filed by corporation stockholder in the sense of Corporation Law can be governed by legislative spirit embodied in judicial interpretation by Supreme Court on Chinese-foreign joint ventures. The qualification of plaintiff must firstly meet the legal requirements of a stockholder, secondly meet the preconditions of internal procedure of corporation and thirdly meet the requirements of impartial nature and public benefit nature.
