摘要
竞业禁止是雇主广泛采用的保护其商业秘密、预防与控制知识产权流失、规范正当竞争的一种有效措施。各国在考察竞业禁止协议的效力时,并不是简单地依契约自由的原理加以判断,而是要平衡各方权益,综合考虑竞业禁止义务主体、业务范围、地域、期限和对价补偿等因素。我国应借鉴国外的立法与实践,尽快建立起竞业禁止协议的合理性判断标准。
Non-competition is an effective way being widely adopted by employers to protect their business secrets, prevent and control the drain of intellectual property and standardize legitimate competition. In most countries, as the validity of non-competition protocol is studied, it is not simply judged by the principle of freedom of contract, but should be analyzed comprehensively with various elements. China needs to use the legislation and practice of foreign countries to establish its own judgent standards of rationality of non-competition protocols.
