摘要
公司治理模式趋同论是一个模糊的观点。世界上根本不存在统一的最佳公司治理模式,但存在有效的公司治理模式。通过对美英与日德两种典型公司治理模式的比较分析,归纳出有效公司治理模式的五个基本特征并从新制度经济学角度对其进行分析,对进一步完善中国公司治理模式有一定的启示。
The author points out that convergence theory of the corporate governance model is a fuzzy view. The best model of corporate governance model,has not occurred so far in the world, but effective models have existed for many years. Based on the comparative analysis of two typical models of corporate governance, the author concludes five basic characters of effective corporate governance model, and makes an analysis of them from the perspective of new institutional economics. The study is helpful to the perfection of corporate governance model in China.
