摘要
企业家人力资本具有天然私有却无法转让的产权特征,决定了企业是企业家人力资本产权价值实现的装置。这要求公司治理结构制度安排的核心应是企业家的人力资本(剩余控制权)如何合理地转化为物质资本(剩余索取权),以此形成激励与约束机制。
The human capital of entrepreneur has the character of property rights that it is naturally private, and can not be transferred. As a result, the nature of the firm is a device to make value of property rights of human capital of entrepreneur to be true. The human cap- ital of entrepreneur is shown in contract as residual rights of control. The core of structure of corporate governance is that residual rights of control are matched against residual claims by choosing right contract, in which the entrepreneur is able to collocate resources effectively.
