设立中公司是一种特殊的法律形态,是一种以成立公司为目的而进行一定活动的组织体。该组织体具有一定行为能力,但并不是法人团体。关于设立中公司法律地位,有无权利能力社团说、非法人团体说、合伙组织说、同一体说等学说。研究设立中公司法律地位,有助于明确设立中公司的权利与义务,保障实现安全交易,保护当事人的利益。
Establishing corporation is a special legal form and an organizational entity whose aim is to establish corporation to organize activities. It is an organizational entity with certain behavior ability, but not a corporate body. Regarding the legal status of the establishing corporation, there are several opinions about it, such as the corporation without right capacity, the non- legal entity, the partnership organization, and the identity entity and so on. Research on the legal status of the estab- lishing corporation will be helpful to clearly define the fights and duties of the corporation, ensure secure transaction, and protect the interest of parties.
