摘要
积极管理IT整合过程可以有效促进企业并购的实现。在分析企业并购中的IT整合目标与挑战的基础上,认为IT整合的过程应该与并购的过程相融合,由此提出IT整合的步骤框架,并对与并购战略相匹配的IT整合策略选择这一步骤进行了重点分析。引入运营方式的概念,解释四种不同并购战略下的IT需求,提出了如何实现IT整合策略与并购战略的匹配策略。
Effective IT integration plays an important role to facilitate the accomplishment of M&A. After the analysis of objectives and challenges of IT integration in M&A, the author found the activities of IT integration should be blended within the process of M&A. Based on this understanding, the paper presents an activities framework of IT integration in M&A to guild the steps of IT integration practices in M&A. The second step of this framework---selecting aligned IT integration strategy with M&A strategy---was further studied in this paper. The concept "operating model" was employed to illustrate the different IT integration requirements of main M&A strategies, and then we developed the aligned model that matched five IT integration strategies with four M&A strategies, which provides a theoretical guideline for IT integration strategy selection in M&A.
