摘要
本文认为,在我国企业信用管理体系建设过程中,企业应将向社会公开的信息与商业秘密相区别。企业应公开的信息具有共享性、公利性、对称性而没有保密性;商业秘密则具有独占性、私利性、不对称性和保密性,受国家法律保护。企业可通过提高自身保护商业秘密的能力,加强信用服务机构管理,明确企业信息公开的范围、程序及善意取得商业秘密的法律效力,建立企业商业秘密被侵犯之后的禁令和救济制度等措施保护商业秘密。
The authors believe that, in constructing China's enterprise credit management system, the enterprises should understand differences between information publicity and commercial secrets. Information publicity and commercial secrets has their own different characteristics, The authors put forward that the enterprises should improve their capacity for commercial secrets protection, enhance credit service institution management, clarify areas and process of information publicity, and so on. And the enterprises also should take some other countermeasures to protect commercial secrets.
