摘要
企业并购和战略联盟,作为企业外部成长的两种方式,应该选择什么方式已成为我国企业的一项战略决策。本文运用交易费用理论、资源基础理论、制度理论和战略选择理论的有关解释,建立了企业外部成长战略的决策分析框架,并以海尔集团为例,对我国企业并购和战略联盟的选择进行了实证研究,力求为我国企业的外部成长决策提供借鉴。
Merger & Acquisition and strategic alliance are two kinds of firm external growth way. How to select between them has become a strategic decision for the enterprises in our country. This paper develops a conceptual framework on the decision of external growth strategy, based on transaction cost theory, resource-based theory, system theory and strategy se- lection theory. Then the paper makes an empirical research about the selection between Merger & Acquisition and strategic alliance for the enterprises in our country with the example of Haier Group being given, and tries to give some advice on the decision-making of external growth.
