摘要
我国的独立董事是基于聘用关系从上市公司直接领取报酬的。这种直接薪酬制度影响了独立董事的独立性。独立董事薪酬由上市公司承担,中介机构支付的薪酬间接支付方案有利于独立董事作用的发挥。在方案设计中,是以中国证券业协会下设独立董事委员会作为非盈利性的中介机构。
The independent board director of our country is according to the employment relationship to receive salary directly from the listed company. This kind of direct salary system affected independence of the independent board director. Independent board director＇s salary is undertook by the listed company, and payed by agency, this project of salary indirect payment is advantageous to independent board director＇s function exertive. In project design, the Securities/kssociation of China shall establish the Committee of Independent Board Directors which will be a non-profit agency.
