摘要
企业家是企业的灵魂,企业是企业家的物化,企业家筛选机制是企业治理机制的核心。在两权分离的现代企业中,如何在信息不对称条件下筛选出真正的企业家,是摆在出资者面前的一道难题。资本市场作为公司制企业股本出资者不可退股这一制度特征的直接产物,为出资者如何筛选企业家提供了有效的机制。
Entrepreneurs are the soul of enterprises and enterprise is the physical body of entrepreneurs. The mechanism to sift the entrepreneurs is the core of corporate governance. Under the asymmetric information, it is a difficult task for modem enterprises with the separation of the ＂two rights＂ to sift the real entrepreneurs. As a direct production of this system characterized by financial backer can＇t redeem capital shares, capital market provides an efficient mechanism.
