摘要
企业本质上是一种创造财富的有效机制，公司治理和管理都是这种有效机制的组成部分。公司治理是对公司相关利益主体之间责权利的划分，以实现相互间的制衡，它是企业财富创造的基础和保障；公司管理则是在既定的治理模式下，管理者为实现公司目标而采取的行动，它是财富创造的源泉和动力。公司治理与管理是相互制约、相互影响的．战略管理跨越了公司治理和公司管理两个范畴，成为联结两者的基本纽带。
Firm is an effective fortune creation system in the nature.Corporate governance and corporate management are both components of this effective system.Corporate governance is the division of responsibilities, rights and profits to keep the balance of enterprise stakeholders. It is the basis and guarantee of fortune creation.Corporate management is the activities which managers undertake to reach enterprise goals under the governance mechanism. It is the resource and impetus of fortune creation. The two respects restrict and affect each other.Strategy management which spans the two concepts becomes the ligament of corporate governance and corporate management.
