摘要
法人的合伙人资格对法人和合伙组织的发展关系重大。允许法人成为合伙人是世界合伙法律制度的发展趋势。我国立法对此问题的规定缺乏明确性和统一性,由此带来理论上的争议和法律适用的困难。笔者以为,理论上法人完全具备合伙人的资格;实践中,法人参加合伙对于促进企业以多种方式从事市场经营,提高资本利用率,加快我国经济发展有着重要意义。
The legal entity's right to become a partner is essential for the development of the legal entity and the partnership. It is the world trend to allow the legal entity to become a partner in the law of partnership. The legislation on the problem is not clear and consistent, which brings about theoretical disputes and difficulties in the application of law. The author believes that in theory the legal entity totally has the right to become a partner and in practice, the legal entity's participation in partnership is very important for promoting enterprises to be engaged in the market economy in many ways, increasing the utilization ratio of the capital and speeding up the development of economy of our country.
