摘要
我国即将成立的中小企业板应具有提高社会资源配置效果、培育我国市场经济微观基础、改革和发展我国资本市场体系、融资及企业孵化的功能。同时应解决中小企业板的定位及企业上市条件问题,明确政府在其中所扮演的角色。实行严格有效的保荐人制度、信息披露制度及市场监管制度,并建立合理的公司内部治理结构以控制中小企业板的风险。
The security market for the small and medium-sized enterprises to be established in China should possess the function of improving the efficiency of social resource allocation,cultivating the microcosmic foundation of market economy,reforming and developing the capital market system, financing and hatching the enterprise.It is necessary to confirm the orientation of the security market for the small and medium-sized enterprises,the conditions for the entry of enterprises and the role played by government.In order to control the risk of the security market for the small and medium-sized enterprises,systems of guarantor,information exposure and market supervision should be implemented;a rational management structure should be established.
