我国企业通过股份制改造实现了所有者和经营者的人格化和具体化,具备了现代企业制度的雏形。随着两权分离导致的经营者“道德风险”亦不容忽视,必须加强对经营者的约束,以保证企业追求利润最大化及公平竞争。
The re-structured companies in our country have obtained the framework of modern ventures with the personification of owners and managers. The 'ethical risk' resulted from the separation of owners and managers should not be neglected. Managers must be supervised in order to maximize company profits and ensure fair competition.
